Operating Agreement for Associates
|
The agreement contains all the terms and conditions for participation
in countrybookshop.co.uk associate program. The term "product" means
any item offered for sale through our site. "Us" "We" "Our" means
countrybookshop Ltd registered in England UK with company registration
number 3244407 whose office is at Hassop Station, Nr Bakewell, Derbyshire,
DE45 1NW, UK. "You" "Your" means the applicant. "Site" means either
the World Wide Web site of the applicant or countrybookshop.co.uk.
Please click the "I Agree" button after you have read this document
and accepted our terms which will then take you to the associates
application form. Submission of the application indicates your acceptance
of our terms and conditions as set out in this agreement. On receipt
of the completed application form you will be informed of your acceptance
or refusal. The sites which are refused may re-apply at a later date.
The sites that are unsuitable for our associate program includes:
those containing or promoting, Sexually explicit materials, Violence
or discrimination based on Race, Sex, Religion, Nationality, Disability,
Sexual Orientation, Age, illegal activities and which violate intellectual
property rights.
You can select any product from our site and each individual product
should have a direct link from the product you are promoting. This
can be done by buttons, banners, hyper-links. You can promote as many
books on your site as you wish. Products should contain description
review or reference and you are fully responsible for the content,
style and to make sure that there is no infringement on copyright.
You can also provide a link directly to our home page using our logos.
Products can be changed on your site at any time without any need
of our approval. We will determine the prices to be charged on our
products. Products, prices and availability may vary from time to
time. We advise you not to include the price of the product displayed.
We take no responsibility for any errors in the description of the
products. We are responsible for all aspects of order processing which
includes; accepting the order, charging the customer, dispatching
the order and returns. To protect customer privacy the names and personal
information about specific customers will not be provided to the participant.
One of our
logos must be displayed somewhere on your site.
We will pay you commission when the customer coming from your site
following the associate link places an order using our Shopping Basket,
makes the payment and accepts the delivery. No commission will be
paid if customer re-enters our site without following the link from
your site. Commission will be paid on the invoice value of the products
excluding costs for; post and packaging and taxes (including VAT if
any). Commission rate will be set at 5% but may be increased to a
maximum of 10% upon agreement of both parties.
Commission will be paid on a quarterly basis approximately 30 days
after the end of each calendar month. We will hold the commission
until it exceeds £25. And if the book is returned for which you have
been paid commission we will deduct the commission earned. If there
is no payment due to you we will bill you for the outstanding amount.
Commission will be paid by cheque, from which will be deducted any
taxes that are required by law. Upon termination of agreement any
commission less than £25 will not be paid and forfeited.
We may modify any of the terms and conditions contained within this
agreement at any time by making an announcement on our website or
posting a new agreement on our site. If you do not agree with any
modification your only recourse is to terminate this agreement. Failure
to do this will constitute your binding acceptance of the change.
This agreement will not create any partnership, joint venture, agency,
sales representative, distributorship, franchise, strategic alliance,
or employment relationship between associates & us.
Either you or we may terminate the agreement at any time for any reason.
This can be done by a written letter or e-mail.
We will not be liable for the consequence of any interruptions or
errors to our site.
You are solely responsible for the development, operation and maintenance
of your site. You shall indemnify us from all claims, damages and
expenses including without limitation any legal fees.
Associates are given a non-exclusive license to use our name and logos,
solely for the purpose of being an associate. You may not modify names,
logos or images and we reserve all our intellectual and moral rights.
Laws of England govern this agreement at all times. All parties are
bound to the jurisdiction of English courts for the settlement of
any disputes or claims that arise from participation in this program.
